By accessing or using any website, platform, or service operated by TalentGrid HCM ("Company," "we," "us," or "our"), including Placetohire and Nainly (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services.

TalentGrid HCM operates human capital management technology platforms:

• Placetohire: A job board connecting employers with candidates across Canada and the United States.
• Nainly: A career marketing platform that helps professionals optimize their personal brand and career materials.

We may introduce additional products or services over time, all of which are subject to these Terms.

3. User Accounts

Some features of our Services require account registration. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

4. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose
• Post false, misleading, or fraudulent content
• Interfere with or disrupt the Services or their infrastructure
• Scrape, harvest, or collect data without authorization
• Impersonate any person or entity
• Violate the intellectual property rights of others

5. Intellectual Property

All content, features, and functionality of our Services (including text, graphics, logos, icons, software, and design) are owned by TalentGrid HCM or its licensors and are protected by intellectual property laws. 6. User Content

You retain ownership of content you submit through our Services (resumes, job postings, profile information, etc.). By submitting content, you grant TalentGrid HCM a non-exclusive, worldwide license to use, display, and distribute your content in connection with operating the Services.

7. Limitation of Liability

To the maximum extent permitted by law, TalentGrid HCM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim shall not exceed the amount paid by you, if any, for accessing the Services during the twelve months preceding the claim.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted, secure, or error-free. We do not guarantee employment outcomes or the accuracy of job listings or candidate profiles.

9. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately.

10. Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Alberta.

11. Changes to Terms

We may update these Terms from time to time. Changes become effective upon posting to this page. Continued use of the Services after changes constitutes acceptance of the revised Terms.
